Neuraflux provides AI consultancy and related technology services, including but not limited to: AI-powered translation and localisation systems, spatial analytics and geospatial AI solutions, and AI literacy workshops for executive teams.

Specific deliverables, timelines, and scope are defined in individual service agreements or proposals provided before work begins. Our website content describes our general capabilities and is not a binding offer.

We reserve the right to modify, suspend, or discontinue any part of our services with reasonable notice.

4. User Responsibilities

When using our website or services, you agree to: provide accurate and truthful information when submitting forms or communicating with us; use our website for lawful purposes only; respect the intellectual property rights of Neuraflux and third parties; and refrain from attempting to interfere with the security or functionality of our website.

You are responsible for maintaining the confidentiality of any login credentials or access details we provide to you as part of a service engagement.

5. Intellectual Property

Regarding deliverables from our services: ownership and licensing of work products are specified in the individual service agreement for each engagement. Where no specific agreement exists, Neuraflux retains ownership of its proprietary methods and tools, while clients receive a licence to use deliverables for their intended purpose.

6. Payment Terms

Service fees are quoted in Malaysian Ringgit (RM) and are detailed in individual proposals or service agreements. Prices listed on our website are indicative and may vary based on the specific scope and requirements of your project.

Payment schedules, including any deposits and milestone payments, are agreed upon before work commences and documented in the service agreement. Late payments may be subject to a reasonable administrative charge as specified in the agreement.

Refund terms, if applicable, are outlined in the specific service agreement. For workshop cancellations, we offer rescheduling or a partial refund if notice is provided at least 14 days before the scheduled session.

7. Service-Specific Terms

7.1 AI Translation and Localisation

Translation outputs are generated by AI models fine-tuned on your content. While we implement quality assurance processes, we recommend human review for critical or legally binding documents. The translation engine is licenced for your organisational use and may not be sublicensed or resold without written consent.

7.2 Spatial Analytics and Geospatial AI

Geospatial models and analyses are based on the data you provide and publicly available datasets. The accuracy of outputs depends on the quality and completeness of input data. Our analysis constitutes professional advice within the scope defined, but final planning and business decisions remain your responsibility.

7.3 AI Workshop Series

Workshop materials are provided for the use of registered participants only. Recordings, if permitted, are for internal organisational use and may not be distributed publicly. Workshop content represents our professional perspective and is intended for educational purposes.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during any service engagement. This includes, but is not limited to, business data, technical specifications, strategic plans, and any data provided for model training or analysis.

Confidentiality obligations survive the termination of any service engagement for a period of 24 months, unless a longer period is specified in the individual service agreement.

9. Disclaimers

Our website and its contents are provided on an "as is" basis. While we make reasonable efforts to keep information accurate and up to date, we do not warrant that the website will be uninterrupted, error-free, or entirely secure.

AI technologies are evolving and have inherent limitations. We are transparent about what our services can and cannot achieve, and we encourage open discussion about expectations during the scoping process.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, Neuraflux shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including lost profits, data loss, or business interruption.

Where liability cannot be excluded, our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim. This limitation does not apply to liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Neuraflux, its team members, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or your violation of any applicable law or the rights of a third party.

12. Termination

Either party may terminate a service engagement with written notice as specified in the relevant service agreement. We reserve the right to suspend or restrict access to our website if we reasonably believe these Terms have been violated.

Upon termination, provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification will continue to apply.

13. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or relating to these Terms or our services shall be subject to the jurisdiction of the courts of Sarawak, Malaysia.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussion and, if necessary, mediation. We believe that open dialogue resolves most concerns more effectively than formal processes.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any service-specific agreements, constitute the complete agreement between you and Neuraflux.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations as part of a business transfer or restructuring.
